GoodTake Terms of Service

These terms and conditions ("Terms of Service") apply to the entire contents of the websites under the domain names www.goodtake.co and any associated mobile applications or platforms (the "Websites"), including any functionality and services offered on or through these Websites, any products, software, or services provided by GoodTake, Pte Ltd, or the Websites, and any communication or interaction with GoodTake, Pte Ltd (together with its owners, affiliates, directors, officers, managers, employees, agents, and licensors, collectively referred to as "GoodTake").
These terms govern the use of the Websites and the services provided, including users' access to and use of content, features, and any other offerings made available through GoodTake's platform. By using the Websites, you, the user (individually, a "User," and collectively, "Users"), agree to comply with and be bound by these Terms. Please review these Terms of Service carefully before accessing or using the Websites. Also, take a moment to read our Privacy Policy, which governs your visit to the Websites and explains how we handle your personal information.
1. Introduction and Acceptance of Terms of Service
By accessing or using any of the GoodTake websites, including through a computer, mobile device, or mobile application, you agree to be bound by these Terms of Service, regardless of whether you choose to register with us. If you do not accept these terms, please do not use the GoodTake Websites or services.
You affirm that you are either over eighteen (18) years of age, an emancipated minor, or have legal parental or guardian consent, and are fully capable of entering into these Terms of Service. You also agree to comply with all obligations and representations in these Terms of Service and confirm that you are not barred from using the GoodTake Websites or services under the laws of your jurisdiction.
Users under the age of eighteen (18) (a "Young User") are prohibited from using the GoodTake Websites or services. If a Young User wishes to use the platform, their parent or legal guardian (a "Parent Registered User") must register on their behalf, providing their own name, email, and payment information, and consenting to upload the Young User's details to the platform. Parent Registered Users are responsible for managing all interactions on the GoodTake Websites on behalf of their Young User, including applications, messaging, and account settings.
For the purposes of these Terms of Service, both Parent Registered Users and Young Users are considered "Users." By registering as a Parent Registered User, you represent and warrant that you understand and agree to these Terms of Service on behalf of yourself and your Young User, including ensuring your Young User's compliance with these Terms.
If a parent or guardian believes that any GoodTake platform has collected information from a child under the age of thirteen (13), or under the age of sixteen (16) if they reside in an EEA country, without appropriate consent, they should contact GoodTake at legal@goodtake.com.
GoodTake may update these Terms of Service at any time, at our discretion. Any updates take effect immediately upon posting and apply to all subsequent access or use of the platform. However, any changes to the dispute resolution provisions set forth in the "Governing Law and Jurisdiction" section will not apply to disputes for which the parties had actual notice before the change was posted. By continuing to use the GoodTake Websites after updates are posted, you accept and agree to the revised Terms of Service. Please check this page regularly for any changes, as they are binding upon you.
2. Platform Content and Premium Services
The GoodTake platform contains content including but not limited to text, graphics, photographs, images, casting notices, job listings, articles, videos, audio recordings, and other forms of information (collectively, “Content”) that is accessible to Users. The platform also offers forums, discussion boards, chat rooms, blogs, and other interactive spaces for Users to engage with one another. All information shared in these areas is also considered Content.
Certain features of the platform, such as premium communication tools, messaging functionalities, or specific digital and print content, may require a paid subscription or purchase. These features, collectively referred to as the “Services,” are available to Users who subscribe to or purchase Premium Services.
Content available on GoodTake, whether through free or paid access, may include opinions, views, and recommendations from individuals, organizations, or projects that are not affiliated with GoodTake. While we aim to provide high-quality information, GoodTake does not guarantee the accuracy, completeness, or timeliness of the Content, nor do we endorse any facts, views, or recommendations presented by external parties.
GoodTake provides an online platform where Users can connect with casting directors, production houses, and talents. However, any agreements or transactions that occur as a result of these interactions do not involve GoodTake, and we are not a party to any agreement made between Users. GoodTake is not an employer or talent agency and is not responsible for employment decisions, hiring, salaries, or any agreements between Users related to opportunities advertised on the platform.
3. Proprietary Rights
GoodTake owns, operates, licenses, controls, and provides access to the platform. You acknowledge and agree that GoodTake, along with its licensors, retains all right, title, and interest in and to all past, present, and future Content, excluding User-Provided Content (as defined below), applications, software, content, and materials provided on or through the platform (including, without limitation, audiovisual works, text, images, photographs, videos, graphics, page headers, editorial and contextual information, the selection and arrangement of elements displayed on or through the platform, the compilation of all content and materials on the platform, and the business processes, procedures, methods, and techniques used in the platform) and all associated patent rights, copyright rights, trademark rights, trade secret rights, and other intellectual property and proprietary rights recognized globally.
The GoodTake logo, the GoodTake name, and all related proprietary trademarks, service marks, trade names, logos, and other identifiers associated with GoodTake are the property of GoodTake Pte Ltd, unless otherwise noted, and are protected by applicable copyright, trademark, and intellectual property laws. GoodTake's intellectual property, including its trademarks and trade dress, may not be used in any manner that is likely to cause confusion among users or in any manner that disparages GoodTake. All rights are expressly reserved.
All third-party trademarks, logos, photographs, images, audio, and audiovisual content, programming, and other intellectual property contained on or within the platform are the property of their respective third parties, including the respective content owners, and may be protected by applicable copyright, trademark, or other intellectual property laws. Each third party expressly reserves all rights to such intellectual property. Use of third-party software or services is subject to the terms and conditions of the applicable third-party license agreements, and you agree to look solely to the applicable third party and not to GoodTake to enforce any of your rights in relation thereto. Except as expressly set forth in these Terms of Service or otherwise expressly granted to you in writing by GoodTake, no rights (either by implication, estoppel, or otherwise) in or to the platform or its contents are granted to you.
4. User-Provided Content
Certain areas of the GoodTake platform may allow you and other Users to upload or transmit data, information, text, images, software, audio, photographs, graphics, video, messages, tags, or other materials to or through the platform ("User-Provided Content"). For example, the platform may offer forums, job postings, casting notices, chat rooms, and other interactive features. For User-Provided Content, GoodTake is merely hosting and providing access.
The decision to submit User-Provided Content to the platform is entirely your responsibility. You should only submit content that belongs to you or that you have the legal right to use, and you must ensure that it does not violate the rights of others. By submitting User-Provided Content, you represent, acknowledge, and warrant that: (a) you have the right to submit it or have obtained the necessary third-party consents (e.g., under privacy or intellectual property laws), (b) the User-Provided Content does not infringe on the copyrights, trademarks, rights of privacy or publicity, or other intellectual property rights of any person or entity, and (c) no third party has any right, title, claim, or interest in the User-Provided Content that would be infringed upon by submitting it. If you submit User-Provided Content on behalf of a group, organization, or business entity, you represent that you have the right to do so and that you have obtained any necessary consents from the group, organization, or business.
You agree not to accept payment for User-Provided Content from any third party, including, without limitation, accepting payment for the inclusion of a logo, brand advertising, or other commercial content within your submissions.
GoodTake cannot vouch for the validity, accuracy, or credibility of any User-Provided Content and does not take responsibility or assume liability for actions Users may take based on viewing, reading, or listening to User-Provided Content on the platform. By using the platform, you may be exposed to content that you find offensive, harmful, inaccurate, or deceptive. There may also be risks of dealing with underage persons, individuals acting under false pretenses, international trade issues, and foreign nationals. GoodTake does not endorse any User-Provided Content or any opinions, recommendations, or advice expressed therein. By using the platform, you assume all associated risks, and GoodTake disclaims any and all liability related to User-Provided Content.
You acknowledge, consent, and agree that GoodTake may access, preserve, and disclose account information and User-Provided Content if required by law or if it believes, in good faith, that such access, preservation, or disclosure is necessary to (i) comply with legal obligations, (ii) enforce these Terms of Service, (iii) respond to claims that any User-Provided Content violates the rights of third parties, (iv) respond to your customer service requests, or (v) protect the rights, property, or safety of GoodTake, its employees, partners, agents, or members of the public.
GoodTake undertakes no obligation to pre-screen User-Provided Content but reserves the right to monitor any and all information transmitted or received through the platform. You acknowledge that GoodTake, at its sole discretion, may review, censor, delete, edit, block access to, or prohibit the transmission or receipt of any User-Provided Content for any reason, including but not limited to content that is obscene, defamatory, libelous, invades privacy, infringes intellectual property rights, is unlawful, offensive, or otherwise inappropriate, or violates these Terms of Service.
You are solely responsible for all User-Provided Content that you make available via the platform. GoodTake will not be liable to you for any errors, omissions, or loss or damage resulting from User-Provided Content. You hereby release GoodTake from any claims, actions, or suits in connection with your User-Provided Content, including claims for defamation, invasion of privacy, emotional distress, or economic loss. Except for the rights granted under these Terms of Service, GoodTake does not acquire ownership rights in or to any User-Provided Content you submit, and nothing in these Terms of Service conveys any ownership rights in your User-Provided Content.
5. Third-Party Content and Linked Sites
Third parties, including Users, provide some of the Content on the GoodTake platform. GoodTake makes no representations or warranties regarding the completeness, accuracy, adequacy, currency, or reliability of any content provided by third parties. We are not liable for any deficiencies, errors, or omissions in content supplied by third parties.
Additionally, third parties may offer opportunities, services, goods, and other materials to you through the platform. Any interactions, transactions, or dealings you have with third parties are solely between you and the third party. GoodTake is not responsible for any loss, damage, or issues resulting from these dealings. We do not endorse, guarantee, or assume responsibility for any third-party products, services, or opportunities available on the platform, and you agree that any concerns or dissatisfaction related to these should be addressed directly with the third party, not GoodTake.
Descriptions of opportunities, services, products, or other materials within the platform do not imply endorsement by GoodTake. The platform may include links to external websites that are not maintained by us. These third-party websites are subject to their own terms and conditions, and it is your responsibility to ensure you read and understand those terms. GoodTake is not responsible for the content of these sites, does not endorse them, and makes no representations regarding the accuracy or reliability of the content on such external sites.
If you choose to access any third-party sites linked from GoodTake, you do so at your own risk, and you may encounter content that could be offensive, indecent, or objectionable. GoodTake will not be liable for any loss or damage arising from your use of external sites.
6. Limited License
Subject to your compliance with these Terms of Service, GoodTake grants you a limited, personal, non-exclusive, non-commercial, revocable, non-assignable, and non-transferable license to:
- View and interact with the Content available on the GoodTake platform;
- Create profile pages on the platform for non-commercial and private use;
- Participate in GoodTake's community areas, including interacting and communicating with other Users;
- Download Content from the platform onto a computer or other personal electronic device for personal, non-commercial use, provided you do not delete or alter any copyright, trademark, or other proprietary notices contained in the Content.
You understand and agree that the features and offerings of GoodTake's Services are subject to change without notice to you.
You may not take any action to jeopardize, limit, or interfere with GoodTake’s ownership of and rights to the platform or any Content. Any unauthorized copying, use, sale, leasing, renting, lending, distribution, modification, downloading, creation of derivative works, posting, or publication of Content, or any other use of such Content, except as explicitly permitted in this limited license, is strictly prohibited. Automated tools like bots, crawlers, spiders, data miners, and scrapers are expressly prohibited.
You acknowledge that any unauthorized use of the platform or Content is a violation of these Terms of Service and will be subject to immediate termination of access and potential legal action.
7. Restrictions on Use
The GoodTake platform is provided for lawful purposes only. By accessing or using GoodTake, you agree and warrant that in connection with your use of the platform you will not:
- Alter any trademark, copyright, or other proprietary or legal notices contained in the GoodTake platform;
- Manipulate the platform in any way not intended and directed by GoodTake;
- Copy, "rip," or attempt to extract any audio, video, or audiovisual content from GoodTake;
- Exploit any part of the platform for commercial gain or engage in any commercial activity utilizing the contents of GoodTake without the prior written consent of GoodTake, including but not limited to inserting your own or a third party's advertising, branding, or promotional content into the platform’s materials or services;
- Upload, post, email, transmit, display, copy, distribute, promote, or otherwise communicate to the public any material that is false, unlawful, threatening, tortious, disparaging, abusive, libelous, defamatory, obscene, vulgar, offensive, pornographic, profane, racist, sexually explicit, ethnically or culturally offensive, indecent, harassing, or that promotes violence, racial hatred, terrorism, or illegal acts, or anything that GoodTake in its sole discretion finds objectionable;
- Upload, share, or distribute any content that violates, plagiarizes, misappropriates, or infringes the rights of third parties, including but not limited to copyright, trademark, patent, trade secret, rights of privacy or publicity, confidential information, or any other proprietary right;
- Upload, post, or share material that restricts or inhibits any other user's ability to use and enjoy the platform or interferes with, overburdens, impairs, or disrupts GoodTake, including material that contains a virus, Trojan horse, time bomb, worm, spyware, adware, malware, bot, or any other harmful component;
- Distribute any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, requests for money, petitions for signatures, or any other form of solicitation;
- Use or attempt to use another person's information, account, password, service, or system except as expressly permitted by GoodTake;
- Impersonate another person or entity;
- Engage in any conduct that in GoodTake’s sole discretion restricts or inhibits the ability of any other person to enjoy the use of the platform;
- Solicit or collect personal data, including but not limited to telephone numbers, addresses, last names, email addresses, or any other type of personal information about users.
